THE COMMUNITY AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF
ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
These Terms are based on the Terms and Conditions used for https://makingprosperouslifestyle.com and are
adapted for this Cohortia-hosted Community platform.
Community Guidelines (Quick Read)
These Guidelines are a plain-language summary. If there’s any conflict, the legal Terms below control.
1. Be respectful. No harassment, hate, threats, or bullying.
2. Keep it appropriate. No obscene or sexually explicit content.
3. No spam or pitching. Don’t solicit, advertise, or DM people sales offers unless they explicitly ask
and it’s allowed by us.
4. Protect privacy. Don’t share personal info (yours or others’) publicly.
5. Share responsibly. Don’t post copyrighted material you don’t have rights to, and don’t post
confidential info.
6. Stay on purpose. This is a learning/support community—not professional legal, medical, or financial
advice.
7. Follow moderator direction. We may remove content or restrict access to keep the Community safe and
useful.
1. Scope; Incorporated Policies
The Community is an online service providing access to community discussions, posts, resources, direct
interactions, and other features (including any restricted or membership areas), which may include
(depending on your plan and access level):
- discussion feeds/spaces and comments
- direct messages between members (if enabled)
- file/resource libraries and downloads
- live or recorded events (online or offline)
- paid memberships/subscriptions and gated content
- announcements, challenges, and other community programming
Any additional policies, notices, guidelines, or legal pages posted within the Community or on our related
websites are incorporated into these Terms by reference, including without limitation: Privacy Policy,
Disclaimer, Copyright Notice, Anti-Spam Policy, FTC/Affiliate disclosures, and any DMCA policy (if posted).
You agree to comply with all applicable laws and regulations in connection with your use of the Community.
2. Community Purpose; No Professional Advice
You acknowledge and agree that we are not providing professional advice.
- No Legal Advice: Nothing in the Community constitutes legal advice or creates an attorney-client
relationship.
- No Medical/Health Advice: Nothing in the Community constitutes medical advice or creates a
doctor-patient relationship.
- No Financial/Investment Advice: Nothing in the Community constitutes financial or investment advice
or creates an advisor-client or fiduciary relationship.
You use the Community at your own risk. You should consult appropriately licensed professionals for advice
tailored to your situation.
3. Accounts; Restricted Access; Security
Certain areas or features may require an account, invitation, subscription, or approval.
- You are responsible for maintaining the confidentiality of your login credentials.
- You may not share your account or permit others to access the Community using your credentials.
- You are responsible for all activity conducted through your account.
- We may disable, suspend, or terminate your access at any time, in our sole discretion, including for
suspected violations of these Terms or any applicable policy.
Account accuracy:
You agree to provide accurate account information and keep it updated.
Minimum age:
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Community.
4. Paid Memberships; Billing; Renewals; Refunds; Cancellations
Some Community areas, resources, events, or features may be offered for a fee (“Paid Access”).
4.1 Billing and renewals
- If you purchase Paid Access, you authorize us (and/or our payment processors and platform providers)
to charge your payment method for the amount shown at checkout, including applicable taxes.
- If your plan is recurring (e.g., monthly/annual), it will automatically renew unless you cancel
before the renewal date, as described at checkout or in your account settings.
4.2 Cancellations
- You may cancel a recurring subscription through your account settings (if available) or by
contacting us at legal@makingprosperouslifestyle.com.
- Cancellation stops future renewals; it does not automatically refund amounts already paid unless
required by law or expressly stated in writing by us.
4.3 Refunds
Unless otherwise stated at checkout, on the sales page, or in a written refund policy applicable to your
purchase:
- All sales are final and refunds are not guaranteed.
- If a refund is granted in our sole discretion, it may be prorated and may exclude processing fees,
chargeback fees, or non-refundable platform/payment processor fees to the extent permitted by law.
4.4 Price and feature changes
We may change pricing, features, or access levels at any time. Changes to recurring fees will apply at the
next renewal or as otherwise allowed by law, with notice provided through the Community, email, or at
checkout flows.
4.5 Chargebacks
If you initiate a chargeback or payment dispute, we may suspend or terminate your access and/or require you
to resolve the dispute and pay any associated fees before restoring access, to the extent permitted by law.
5. Events (Live/Virtual); Recordings; Attendance; Conduct
The Community may offer events such as live calls, workshops, group coaching sessions, webinars, meetups,
or other programming (“Events”).
- Registration: Some Events may require registration and/or an additional fee.
- Schedule changes: Dates/times/speakers/format may change. We may cancel or reschedule Events.
- Recordings: Events may be recorded and made available to members. By participating, you consent to
being recorded (audio/video/chat), and you grant us the right to use and share such recordings
within the Community and for our business purposes (including marketing), unless prohibited by law.
If you do not want to be recorded, do not attend or keep your camera/microphone off where possible.
- Event conduct: The Acceptable Use rules apply during Events, including in chat and Q&A. We may remove
attendees or restrict participation.
6. Direct Messages (DMs) and Member-to-Member Interactions
If direct messaging is enabled:
- You are responsible for your communications.
- No spam or unwanted solicitation: Do not send unsolicited promotions, affiliate links, or sales
messages.
- Safety: Use caution when meeting or transacting with others. We are not responsible for disputes
between members.
- We may restrict or disable messaging features for any user at any time.
7. File Libraries; Downloads; User Uploads
The Community may include file/resource libraries and may allow uploads (depending on settings).
- Downloads are at your risk. We do not guarantee files are free of viruses or harmful components.
- No prohibited uploads. You may not upload malicious code, illegal content, or content that infringes
third-party rights.
- Availability: We may remove, replace, or update files/resources at any time, and we do not guarantee
ongoing access to any specific file, download, or resource.
8. Acceptable Use; Community Conduct Rules
You agree not to use the Community in any manner that is unlawful, harmful, abusive, or disruptive.
Prohibited conduct includes, without limitation:
- Posting or transmitting content that is unlawful, defamatory, threatening, harassing, hateful,
obscene, profane, or otherwise objectionable.
- Posting sexually explicit images or content.
- Impersonating any person or entity, or misrepresenting your affiliation.
- Posting content that infringes intellectual property rights or violates privacy/publicity rights.
- Posting trade secrets or confidential information without authorization.
- Advertising, soliciting, or promoting commercial offerings without our prior written permission.
- Spamming, scraping, harvesting, or collecting personal information of other users.
- Uploading or sharing malicious code, or attempting to disrupt the Community’s functionality,
security, or integrity.
- Encouraging or enabling others to violate these Terms.
We may (but are not obligated to) remove content, restrict features, or take other action we deem
appropriate.
9. Moderation Workflow; Enforcement; Content Removal
To maintain a safe and productive environment, we may moderate the Community. Moderation may include
automated tools, manual review, member reports, or administrator actions.
- Member reporting: You may report content or behavior through available tools or by contacting us.
- Our discretion: We may remove or edit content, lock threads, limit posting, restrict access, or
remove members at any time, with or without notice.
- No obligation to monitor: We do not guarantee we will review or remove any specific content.
- No liability for moderation decisions: You agree we are not liable for actions taken (or not taken)
in moderation.
10. User Content; Submissions; License to Us
“User Content” includes any content you submit or make available through the Community (posts, comments,
messages where applicable, images, files, links, reactions, profile information, etc.).
You represent and warrant that you have the rights necessary to submit your User Content and that it does
not violate any law or third-party rights.
By submitting User Content to the Community, you grant Making a Prosperous Lifestyle a non-exclusive,
royalty-free, worldwide, irrevocable, perpetual license, with the right to sublicense, to use, reproduce,
store, display, distribute, transmit, publish, create derivative works from, and perform such User Content
in any media now known or later developed, for operating, improving, promoting, and providing the Community
and related offerings.
You also grant us the right to use your name and/or username in connection with your User Content and
related promotional or marketing materials, unless prohibited by law.
You understand that other users may be able to view, share, quote, or respond to your User Content
depending on Community settings and the nature of the feature used.
11. Intellectual Property; Copyright; Limited License to You
All Community content and materials provided by us (including but not limited to text, graphics, logos,
designs, audio, video, downloads, templates, recordings, courses, and other resources) are protected by
intellectual property laws and are owned by Making a Prosperous Lifestyle and/or its licensors.
Except as expressly permitted in writing by us, you may not modify, copy, reproduce, republish, upload,
post, transmit, distribute, sell, license, or exploit any Community content for public or commercial
purposes.
We grant you a non-exclusive, non-transferable, revocable license to access and use the Community for your
personal, non-commercial use, subject to these Terms.
If you violate these Terms, your permission to use the Community content automatically terminates and you
must destroy any copies you have made.
12. Trademarks
“Making a Prosperous Lifestyle” and associated names, logos, and marks are trademarks/service marks of
Making a Prosperous Lifestyle or its affiliates/related parties. Other trademarks belong to their
respective owners. Nothing in these Terms grants you any rights to use our trademarks without our prior
written consent.
13. Links; Third-Party Platforms; Third-Party Services
The Community may include links to third-party websites or resources. We do not control and are not
responsible for third-party content, products, services, or policies.
If the Community is hosted or supported by third-party platforms (including the Cohortia platform and
related infrastructure), your use may also be subject to those third parties’ terms and policies. We are
not responsible for third-party outages, changes, or acts/omissions.
You access third-party sites and services at your own risk. Where applicable, you should assume we may be
compensated for referrals or purchases.
14. Privacy; Social Sharing Warning
Use caution when sharing personal, private, or sensitive information in the Community. Social/community
platforms can make it easy to disclose information that may later be shared by others, intentionally or
unintentionally.
If you inadvertently obtain personal information about other users, you agree not to share it with anyone
else.
Our collection and use of personal information is governed by our Privacy Policy (as posted/linked).
15. No Guarantee of Results; Typicality
Any examples of outcomes, earnings, health improvements, or other results discussed in the Community are
not guarantees. Results vary widely based on many factors, and you assume the risk of relying on any
information shared.
16. Viruses; Security; Data Loss
We do not guarantee that the Community or any downloadable files will be free from viruses, malware, or
other harmful components. You are responsible for implementing safeguards and maintaining backups. We are
not responsible for any loss of data or damage to your systems.
17. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMMUNITY AND ALL CONTENT, SERVICES, AND MATERIALS ARE PROVIDED
“AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE COMMUNITY WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE
CORRECTED.
18. Limitation of Liability; Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAKING A PROSPEROUS LIFESTYLE, ITS OWNERS,
OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, OR ANY THIRD PARTIES MENTIONED
IN THE COMMUNITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE
DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE
SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE COMMUNITY.
IN JURISDICTIONS THAT DO NOT ALLOW CERTAIN LIMITATIONS, LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT
PERMITTED BY LAW.
19. Indemnification
You agree to indemnify, defend, and hold harmless Making a Prosperous Lifestyle and its owners, officers,
directors, employees, agents, licensors, suppliers, and information providers from and against any claims,
losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or
related to:
- your use of the Community,
- your User Content,
- your violation of these Terms, or
- your violation of any rights of another person or entity.
20. Enforcement; Investigation; Reporting
We may investigate complaints or suspected violations and take any action we deem appropriate, including
removing content, restricting access, terminating accounts, or reporting suspected unlawful activity to law
enforcement or regulators. We may disclose information as reasonably necessary to comply with legal
requests or to protect our rights, users, or the public.
21. Term; Termination
These Terms remain effective while you use the Community.
We may terminate or suspend your access, in whole or in part, at any time without notice for any reason,
including suspected or actual violations.
Sections that by their nature should survive termination will survive, including without limitation:
Intellectual Property, User Content License, Disclaimers, Limitation of Liability, Indemnification,
Disputes, and Miscellaneous provisions.
22. Governing Law
These Terms shall be treated as though executed and performed in the State of Texas and shall be governed
by and construed in accordance with Texas law, without regard to conflict-of-law principles.
23. Disputes; Arbitration; Time Limit to Bring Claims
Any cause of action you may have with respect to the Community must be instituted within one (1) year after
the cause of action arises or it is forever waived and barred.
Any legal claim arising out of or relating to these Terms or the Community (excluding intellectual property
infringement claims and other claims brought by us) shall be resolved confidentially through mandatory
binding arbitration under the American Arbitration Association (AAA) commercial arbitration rules,
conducted in Texas.
- Each party will pay one-half of arbitration fees/costs incurred.
- Each party bears its own attorneys’ fees.
- Claims must be arbitrated on an individual basis and may not be consolidated with claims of other
parties.
24. Miscellaneous
- Modification: No course of conduct or industry practice modifies these Terms.
- Assignment: We may assign our rights and obligations under these Terms at any time without notice to
you.
- Interpretation: These Terms will be interpreted according to their fair meaning; no “contra
proferentem” rule applies.
- Severability: If any provision is found unenforceable, the remainder remains in effect.
- Precedence: These Terms control over any conflicting statements elsewhere in the Community.
- Waiver: Failure to enforce a provision is not a waiver.
- Reservation of Rights: Any rights not expressly granted are reserved by Making a Prosperous Lifestyle.
